01Agreement

These terms govern your use of madgoodlabs.com and any services you buy from Mad Good Labs, an Australian business (ABN [KAY: ABN]) based in Sydney, New South Wales (“Mad Good Labs”). Project specifics (scope, deliverables, price and timeline) are set out in a written proposal or statement of work (“SOW”). If the SOW conflicts with these terms, the SOW wins for that project.

02Services

We design, build and hand over automations (for example speed-to-lead, missed-call text-back, booking, CRM and invoicing workflows) and produce creative work. Demo builds and spec creative shown on our site are demonstrations, not client projects, and make no claims about client results.

03Quotes, fees and payment

Prices are quoted as a fixed fee per SOW, in US dollars unless your SOW states GBP, CAD or AED. Fees are payable on the schedule set out in your SOW. Optional care plans are billed monthly on the terms in your SOW. Third-party tools (such as Twilio, GoHighLevel, HubSpot, n8n Cloud or Make) are billed to you directly by each provider and are not included in our fees.

04Your accounts and ownership

We build inside accounts you own. You keep ownership of your accounts, phone numbers, data and, once paid in full, the workflows and deliverables we create for you. We keep ownership of our pre-existing tools, templates, know-how and general techniques, and grant you a perpetual, non-exclusive license to use any of them embedded in your deliverables. Open-source or third-party templates remain under their own licenses, which we credit.

05Your responsibilities

  • Provide timely access, accurate information and one decision-maker for approvals.
  • Obtain and keep records of any consent required to contact your customers, including express written consent for marketing texts or calls under the TCPA and applicable US state laws, and equivalent rules where your customers are (such as PECR in the UK, CASL in Canada and the Spam Act 2003 in Australia).
  • Complete carrier registration steps (such as A2P 10DLC brand and campaign registration) with our help, and keep your business details accurate.
  • Comply with the terms of the third-party platforms you use.

06Compliance configuration

We configure messaging flows with opt-out handling (STOP/HELP), plain-language replies and send windows designed to support compliance. We are not a law firm and do not provide legal advice. You are responsible for the content you approve and for how the systems are used after handover.

07Acceptance and guarantee

Each build is tested against the signed blueprint before launch. If it doesn’t work the way the signed blueprint says, we fix it free until it does. Miss our launch date, and your first month of care is on us. The launch date is the date in your SOW, moved by any delay caused by you or by third-party approvals (such as carrier registration). The care credit applies once per project.

08Confidentiality

Each party will keep the other’s non-public information confidential and use it only for the project. We are happy to sign a mutual NDA on request.

09Warranties and disclaimers

We will perform services with reasonable skill and care. Except as stated in an SOW, services and deliverables are provided “as is”. We do not guarantee specific business outcomes such as revenue, bookings or response rates, and we are not responsible for outages or changes in third-party platforms.

10Limitation of liability

[KAY: limitation of liability clause, to be drafted by counsel]

11Termination

Either party may end a project or care plan by written notice. You pay for work completed up to the termination date. Everything already built in your accounts stays with you.

12Creative work and trademarks

Spec and AI-assisted creative is labeled on our site. Brands shown in spec work are not clients and have not endorsed us. Trademarks belong to their owners.

13Governing law

These terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales.
